SWAP AMENDMENT

Amsterdam, The Netherlands – Bastion 2022-1 NHG B.V. announced today that the current swap structure has been changed by the transaction parties, whereby the swap counterparty of the Issuer was Coöperatieve Rabobank U.A. and, after novation of the transaction on 11 December 2023, MeDirect Bank NV/SA has become the swap counterparty of the Issuer and Coöperatieve Rabobank U.A. has entered into a new transaction document (the Conditional Novation Agreement) with MeDirect Bank NV/SA and the Issuer and the Security Trustee pursuant to which Coöperatieve Rabobank U.A. will step in the swap agreement in certain events, such as (i) non?payment under the swaps or (ii) bankruptcy of MeDirect Bank NV/SA. In addition, the Master Definitions and Common Terms Agreement, the Trust Deed and the Administration Agreement have been amended pursuant to a Deed of Amendment to address the new swap structure.
